Overview

CERTINA Holding AG (Handelsregister München HRB 132997), headquartered in Grünwald with an office in Munich and represented by CEO Dr. Hans Wehrmann, heads the CERTINA Group, which describes itself as a long-term oriented industrial holding focused on special situations. It buys majority stakes (ideally over 75%) in carve-outs, spin-offs, turnarounds, restructurings and succession cases with EUR 50–500 million revenue, investing up to EUR 20 million of equity per deal, with a buy, build and hold approach. Its portfolio lists 21 companies in industrials, packaging, automotive, software and goods and services, acquired from 1997 (Pruss) to 2025 (MOBOTIX, Meta System). MOBOTIX's own release of March 2025 calls CERTINA a Munich-based family equity investor and says the deal raised group sales to EUR 1.3 billion.

Investment thesis

Sweet spot: business units or subsidiaries of corporate groups with operational improvement potential whose sale is of strategic value to the seller; long-term buy-and-build and hold rather than quick exits, with active operational restructuring and strategic repositioning.
