Overview

BPE was founded in 1997 as a subsidiary of the Hamburg private bank Joh. Berenberg, Gossler & Co. and started investing in 1998; its founders bought a majority in 2000/2001 and Berenberg's remaining minority in 2009. It finances management buy-outs and buy-ins for owner successions and corporate carve-outs of German Mittelstand companies with €10-100M revenue, taking majority stakes alongside the managers, and runs an MBI initiative that pairs entrepreneurial managers with targets and, since 2022, entrepreneur buy-outs (UBO). Its investors are entrepreneurs, family offices and institutional investors. It has raised four funds: BPE 1 (DM 100M, 1999), BPE 2 (€100M, 2005), BPE 3 (€125M, 2014) and BPE 4 (€135M, 2020).

Investment thesis

Solves Mittelstand succession by 'replacing entrepreneurs with entrepreneurs' and creates new Mittelstand from corporate spin-offs, with majority stakes, management co-investment and long-term, non-interfering support through expert advisory boards.
